Acted for and assisted Cambodian Re its joint venture with Blue Venture Group, a Thai-listed leading insurance platform provider to launch an insurtech in Cambodia.
Although it may seem to be a straightforward joint venture establishment, the fact that Cambodian Re is a mixed company with Cambodian Government’s participation, made the process complex and which required tremendous coordination efforts with various authorities, particularly bridging the regulatory gap between Thailand’s corporate governance of a listed company and Cambodian law requirements for companies with State participation.
Our role included (i) reviewing and advising on the joint venture agreement from Cambodian law perspective, (ii) assisting and advising Cambodia Reinsurance Company in various aspect of Cambodian law including public enterprise law, and (iii) assist with the incorporation and registration of the joint venture company in Cambodia and dealing with various Cambodian authorities.
